Seale Advises on Sale of Leading Mexican Manufacturer of Steel Frame Rails for Commercial Vehicles in North America to Iochpe-Maxion of Brazil for US$195 million
MONCLOVA, MEXICO - Seale & Associates, Inc. ("Seale") announced that it acted as exclusive financial advisor to the shareholders of Grupo Galaz, S.A. de C.V. ("Grupo Galaz"), on the sale of the company and its subsidiaries, including Ingeniera y Maquinaria de Guadalupe, S.A. de C.V. ("INMAGUSA"), a leading Mexican manufacturer of steel frame rails for commercial vehicles, to Iochpe-Maxion S.A. ("Iochpe-Maxion"), a Brazilian producer of wheels and chassis for commercial vehicles, wheels for light vehicles, railway freight cars and railway castings. The announced aggregate enterprise value of the transaction was US$195 million. The transaction closed on January 23, 2012.
Founded by Gustavo Galaz Mendoza in 1966 in Castaños, Coahuila, Mexico, Grupo Galaz is the holding company for INMAGUSA and related subsidiaries focused on the manufacture of fabricated steel products. INMAGUSA is a leading manufacturer of steel frame rails and critical supplier to the largest OEM manufacturers of Class 6, 7 & 8 vehicles (trucks and buses) in North America, including Navistar International and Daimler Trucks North America (Freightliner). Grupo Galaz has approximately 1,450 employees.
Iochpe-Maxion is Brazil's largest manufacturer of wheels and frames for commercial vehicles and railway freight cars and castings, with a relevant market share in each of these segments. It also has important international business, with production centers in Brazil, Mexico, and China, and sales to over 40 countries on all continents, the highlight being the markets in the United States and Latin America. The company has been public since 1984 on the Sao Paulo Stock Exchange (BM&FBOVESPA) under the ticker symbol MYPK3. Iochpe-Maxion had consolidated net revenue of R$2.9 billion (US$1.6 billion) in 2011 with approximately 8,000 employees.
